Accepting these terms
These terms cover our website, the waitlist, the free trial and the Riley service (together, “Holloway”). Riley is an AI employee for independent insurance agencies. “We”, “us” and “our” mean Holloway Labs, Inc. “You” means the agency or other business that joins the waitlist, starts a trial or uses Riley, and the people who do so for it.
By joining the waitlist, starting a trial or using Riley, you agree to these terms. If you don't agree, please don't use Holloway.
Riley is a business service. If you accept these terms for an agency or other business, you confirm that you're allowed to bind it.
Riley is in development
Riley isn't released or sold yet. Joining the waitlist is free. We let agencies in a few at a time, and we email you when it's your turn to start a free trial.
- Joining the waitlist doesn't guarantee access or a date.
- Riley is early software. It may have bugs, and some things may not work as expected.
- Features may change, be added or be removed.
- We may pause the waitlist, a trial or the service, or limit how much Riley does, for example to keep your clients safe.
- If you send us ideas or suggestions, we can use them without owing you anything.
The free trial
In short
- 30 days, free. No card and no fees.
- Nothing is charged when it ends, and nothing renews by itself.
- You keep your agency's data if you leave.
- Length. Your trial lasts 30 days. It starts on the day we finish setting Riley up for your agency, and we tell you that date by email.
- Free. We don't ask for a card, and we don't charge anything during or at the end of the trial.
- What's included. We set Riley up with you. On the first day of the trial you get a renewal risk report built from your renewal export. We aim to have Riley's first drafts waiting for your account manager within 48 hours of setup. These times depend on steps on your side, such as sending your renewal export and adding the DNS records Riley's mailbox needs; if a step is late, the times move with it.
- How Riley works during the trial. The same as for any customer, under these terms. Riley starts in training, so every email waits for your account manager.
- When it ends. Riley stops sending, and we ask whether you want to subscribe. If you do, you choose a plan and give payment details then (see section 12). If you don't, nothing happens and nothing is charged.
- Your data after the trial. You can export it for 30 days after the trial ends. After that we plan to delete it within 90 days, as section 08 and our Privacy policy describe.
- One per agency. Each agency gets one free trial. We may decline or end a trial if these terms are broken or if it's needed to protect your clients or others.
Who can use Riley
- Riley is offered only to businesses in the United States, such as independent insurance agencies.
- The people who use it for your agency must be at least 18.
- Give us accurate information when you join the waitlist or set Riley up.
- Keep your sign-ins secure. You're responsible for what happens under your agency's account.
- Only give Riley data, mailboxes and accounts your agency is allowed to use.
How Riley works for your agency
Riley drafts and sends renewal emails to your clients, and to carriers you choose, from its own mailbox at your agency's domain. It reads the replies sent to it and keeps a record of every step. Your agency is responsible for the emails it approves and for the kinds of email it lets Riley send on its own.
How Riley acts
- Riley starts in training. Every email waits for an account manager to approve, edit or reject it.
- After 20 clean jobs of one kind, Riley may offer to send that kind of email on its own. It does so only if your account manager or owner agrees. That agreement is your standing instruction for every matching email until you turn it off.
- Your owner can require approval of every email, or send Riley back to training, at any time.
- Anything that quotes, binds or changes coverage, any coverage question, and anything Riley isn't sure it read right always waits for a person.
- Riley says it's an AI in the first message of every thread and in its signature. Don't remove or hide that.
When Riley sends or records something for you, it acts as your agency's electronic agent on your instructions, including under the Uniform Electronic Transactions Act. Check drafts before you approve them: an email that has been sent can't be taken back.
Every step is written to the renewal record, which you can export. The record helps you show what happened. It doesn't replace your agency's own recordkeeping duties.
Insurance work stays with your licensed people
- Holloway is not an insurance agency, producer or carrier. Riley doesn't sell, solicit or negotiate insurance, give coverage advice, or quote, bind or change coverage. Those acts stay with your licensed people. Riley does administrative work for your agency under the direction of your licensed people, and your agency is the producer of record. Our fees never depend on a policy being sold, renewed or placed.
- Your agency stays responsible for every policy, renewal and client relationship, and for its licenses, carrier appointments and agreements, the insurance rules of each state it works in, and its errors and omissions coverage.
- Riley helps your people keep renewals moving. It doesn't promise that a renewal won't lapse or go out late.
Messages Riley sends for you
- The emails go out in your agency's name. You confirm your agency has the right to contact the clients and carriers Riley writes to about their policies.
- Use Riley for messages about existing policies and renewals. If you use it for anything promotional, your agency must follow the CAN-SPAM Act, including its opt-out and address rules.
- Riley sends client email only in the hours your agency sets.
- Riley doesn't send text messages today. If we offer texting later, it will send texts only to people who gave the consent the Telephone Consumer Protection Act and state laws require, and your agency will be responsible for having that consent.
Your agency's data
You own your agency's data: your renewal list, client and policy details, emails, replies, files and the renewal record. These terms don't give us ownership of any of it.
- What we may do with it. Use it only to provide Riley for your agency: to set it up, draft and send emails, read replies, keep the record, support you, and keep Riley safe and working.
- Our role. For your clients' information we act as your service provider. We process it only on your instructions and to provide Riley, and we protect it with administrative, technical and physical safeguards suited to how sensitive it is, as the Gramm-Leach-Bliley Act and state insurance data security laws expect of an agency's service providers. If your agency needs a written service-provider or data processing agreement, ask us and we'll sign one. What is in place and what isn't yet is listed on our Security page.
- What we never do. We don't sell it, use it for advertising, or use it to train AI models for anyone else.
- AI processing. To draft and read emails, Riley sends the text that's needed to our AI provider. We're getting the provider's written promises not to keep that text and not to train on it. Until both are in place, we don't send any real agency's data to the AI provider.
- Export and deletion. You can export your data at any time. When your trial or subscription ends, you can export it for 30 days, and then we plan to delete it within 90 days, except anything the law requires us to keep. The automated deletion process is still being built; our Privacy policy has the current state.
- Security incidents. If we learn of a security incident that affects your agency's data, we'll tell you without unreasonable delay, with what we know, so you can meet your own notice duties.
Holloway belongs to us
Riley, the website, and the Holloway name and logo belong to Holloway Labs, Inc. We give your agency a non-exclusive, non-transferable permission to use Riley under these terms, which ends as section 14 describes. Don't copy, reverse engineer or resell Riley, or use it to build a competing service, except where the law allows it.
AI output can be wrong
Riley uses AI. A draft, a reading of a reply or an offer, or a report may be wrong, incomplete or out of date. Riley shows the sentence each number came from so your people can check it.
- Review drafts and numbers before you rely on them.
- Riley's output isn't legal, tax or insurance advice.
- Your people decide what to act on.
Sensitive information
Riley never asks clients for Social Security numbers, birth dates or driver's license numbers by email. Don't upload payment card numbers, government ID numbers, or medical records to Riley, and don't ask Riley to collect them. Injury or claim details that normally appear in insurance documents, such as loss runs, are fine; Riley uses them only for the renewal. If a client sends them anyway, your agency decides how to handle them under its own policies, and you can ask us to remove them from Riley.
Services we rely on
- Riley runs on services other companies provide, such as hosting, email delivery, sign-in, AI and payments. Our Privacy policy describes them, and our data sheet lists them; ask us for it.
- If one of them has an outage or changes, parts of Riley may stop working for a while.
- Your agency's own email provider, such as Microsoft 365 or Google, has its own terms, which apply to your mailboxes.
Paid plans, after your trial
The waitlist and the free trial cost nothing. You pay only if you choose a paid plan after your trial.
Automatic renewal
- Before you pay, we show the plan, the price, what counts as a renewal, how often you're charged, that the plan renews until you cancel, and how to cancel. You agree to the automatic renewal there.
- After you subscribe, we email you those terms and how to cancel, in a form you can keep.
- Monthly plans renew automatically each month, at the price shown, until you cancel.
- Cancelling. Cancel any time by writing to [email protected] or in Riley. You don't have to call anyone. Cancelling stops the next renewal, and Riley keeps working until the end of the month you paid for.
- Refunds. We don't refund part of a month, unless the law requires it.
- Price changes. We tell you by email at least 30 days before a change to what you pay. It starts at your next renewal after that, and you can cancel before it does.
- Payments and taxes. Payments are handled by our payment provider, and we never see or store your full card number. Prices are in US dollars, and we add taxes where the law requires.
Promises to earlier waitlist members
Before 28 October 2026, we told people on the waitlist that the first 100 to confirm their email would get a founding price, and the next 100 an early price. We keep that promise for them.
- It applies if the version of these terms you agreed to when you joined is dated before 28 October 2026, or you joined before we recorded a version, and you were among the first 100 (founding) or the next 100 (early) of those people to confirm their email, in the order our records show. We decide this in good faith and can leave out duplicate, fake or automated sign-ups.
- You get your group's discounted price on the Riley plan you choose: the founding price for 12 months, or the early price for 6 months, counted from your first paid month while your subscription continues.
- Use it within 60 days after your free trial ends. It's offered to the email address on the waitlist, belongs to the person or business that claimed it, and can't be sold or transferred.
- Cancelling, or the subscription ending because a payment failed, ends it. After it ends, your plan renews at the standard price, and we email you 10 to 30 days before.
- If the terms you agreed to when you joined gave you a lower price or a longer price period, you get that instead.
- People who join under terms dated 28 October 2026 or later get the free trial in section 03, not a founding or early price.
Ending your use
You can stop at any time. Write to [email protected] to leave the waitlist or end a trial, or cancel a paid plan as section 12 describes. When your use ends, Riley stops sending, and you can export your data for 30 days.
We may suspend or end your access if these terms are broken, if it's needed to protect your clients, other agencies or Holloway, or if we stop offering Riley. When we can, we'll tell you first and give you time to export your data.
The parts of these terms that by their nature should continue, including your data, disclaimers, limitation of liability and governing law, keep applying after your use ends.
Disclaimers
In plain words: Riley is new software, provided as it is. We work hard on it, but we can't promise it will always work or always be right.
Formal wording
To the fullest extent permitted by law, Holloway is provided “as is” and “as available”, without warranties of any kind, whether express, implied or statutory, including any warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that Holloway will be uninterrupted, error-free or secure, that it will work with any particular third-party service, that its output will be accurate or complete, or that any renewal will be completed on time.
Limitation of liability
In plain words: renewals and coverage stay your agency's responsibility, and our total liability is capped.
Formal wording
To the fullest extent permitted by law:
- Holloway Labs, Inc. will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, commissions, clients, data or goodwill, arising out of or relating to Holloway or these terms, even if we were told such damages were possible.
- We will not be liable for a lapsed, late or missed renewal, a gap in or change to coverage, a premium change, or a claim against your agency, including an errors and omissions claim, except to the extent caused by our gross negligence or willful misconduct.
- Our total liability for all claims arising out of or relating to Holloway or these terms is limited to the greater of the amount you paid us for Riley in the 12 months before the claim, or US $100.
- Nothing in these terms limits liability that cannot be limited by law.
Claims about your agency's work
If someone brings a claim against us because of your agency's insurance work, your clients' policies, emails your agency approved or let Riley send on its own, data your agency wasn't allowed to give us, or your breach of these terms, your agency will defend us and cover the resulting costs and damages, except to the extent caused by our breach of these terms or our negligence.
Governing law
These terms are governed by the laws of the State of Indiana, USA, without regard to its conflict-of-law rules. Any dispute will be handled in the state or federal courts located in Marion County, Indiana, and you and we agree to those courts' jurisdiction.
To the extent the law allows, any claim arising out of or relating to Holloway or these terms must be brought within one year after it arises, or it is permanently barred.
General terms
- These terms, our Privacy policy and any written agreement we sign with you are the whole agreement between you and us about Holloway. If a signed agreement differs from these terms, the signed agreement wins.
- If a part of these terms can't be enforced, the rest still applies.
- If we don't enforce a term right away, we haven't given it up.
- You can't transfer these terms without our written OK. We may transfer them as part of a sale or reorganization of our business.
- We can send legal notices to the email you gave us. You can write to us at [email protected]. You agree to get notices and other messages from us electronically.
- We aren't liable for delays or failures caused by things beyond our reasonable control, such as outages of other companies' services.
- Holloway is offered only to businesses in the United States. You're responsible for following the export and sanctions laws that apply to you.
Changes to these terms
We may update these terms as Riley changes. When we do, we'll post the new version on this page and change the “Last updated” date. If a change is significant, we'll email you at least 30 days before it takes effect. If you keep using Holloway after a change takes effect, you accept the new terms. If you don't agree, stop using Holloway before then. Changes to what you pay follow section 12, and a change never takes away a promise in section 13.
